What are SEA Rule 17a-4 and FINRA Rule 4511?
Also called: broker-dealer recordkeeping.
Short answer
The broker-dealer recordkeeping rules: SEC Rule 17a-4 on preserving records and FINRA Rule 4511 on books and records.
Definition
SEA Rule 17a-4 under the Securities Exchange Act sets how long broker-dealers must preserve records, including business communications, and how electronic records must be kept. FINRA Rule 4511 requires member firms to make and preserve books and records as required by FINRA rules and the Exchange Act.
They're the broker-dealer counterpart to the Advisers Act books and records rule.
Why it matters for advisors
If a rep uses AI to draft and send business communications, those communications need to be captured and preserved like any other. The SEC's off-channel cases show what happens when they aren't.
FINRA's 2026 oversight report says generative AI can implicate recordkeeping, and suggests monitoring may include storing prompt and output logs. Decide which AI artifacts your firm keeps and where.
Archiving vendors are adding AI features of their own, like summarizing flagged messages. Those features process your records too, so they belong in the same vendor review as the archive itself.
Example
A broker-dealer confirms its archiving vendor captures emails drafted in a CRM's AI assistant, and adds notetaker recaps sent to clients to its retention schedule.
Watch out for
Capturing the final email isn't always enough if your policy says drafts or prompts are records too. Make the decision explicit.
